data-transactions
A smart data room is a centralized company-information layer: documents are not only stored, they are structured so intelligence, valuation, investor matching and due diligence can run on the same objects. Dazur uses this as the core of its transaction model.
A traditional data room or VDR answers “can I see the PDF?” A smart data room answers “does the company exist as structured information that valuation, matching and diligence can share?” The point is not a prettier folder tree. The point is to stop every advisor, buyer and lender rebuilding the same extract.
Dazur’s model is a centralized layer that moves in this sequence:
DATA → STRUCTURE → INTELLIGENCE → VALUATION → MATCHING → DUE DILIGENCE → DECISION
Data is what the company actually has: financials, customers, contracts, people, IP, assets, debt, working capital. Structure is mapping those inputs onto consistent objects (not twelve versions of EBITDA). Intelligence is what those objects imply: growth, concentration, cash conversion, gaps. Valuation uses the same objects under IVS / IPEV-aware methods rather than a parallel model. Matching uses the same profile to find relevant private equity, venture, strategic or other counterparties. Diligence reads the same layer instead of opening a second archaeology project. Decision is proceed, re-cut, or stop.
Traditional transactions shuttle information among management, accountants, lawyers, bankers and investors. Each hop creates a new pack, a new inconsistency, and a new week. A smart room does not claim to delete professional judgement. It claims to delete re-keying. Time saved depends on how chaotic the starting files were; it is not a universal percentage, and Dazur does not publish fake precision on that point.
A seller is asked for “updated financials” by the banker, the QoE team, two funds and a lender. In a file VDR that is four uploads and four mismatches. In a smart layer it is one structured financial position with permissions. The earnout definition, the valuation and the credit metrics can cite the same earnings object.
AI data room and AI due diligence tools can sit on this layer — extraction, anomaly flags, draft questions. They do not replace the layer. Without structure, AI summarises the wrong pile.
Relabelling a VDR “smart” because it has search. Letting AI write a valuation from incomplete data. Hiding the core numbers in a dashboard that crawlers and counterparties cannot cite.
A smart room cannot invent missing contracts. It cannot make a weak competitive position strong. Professionals still sign opinions. Garbage in remains garbage — it is simply visible earlier.
Dazur builds the layer so owners are not paying to recreate the company every time a new party joins. Valuation, investor matching and diligence become downstream uses of one structured truth, not three separate projects.
