What Does QoE Mean in a Deal?

In deal rooms, “QoE” means the quality-of-earnings report — the document bankers, PE partners and CFOs point to when they argue about adjusted EBITDA. Saying “the QoE is out” is a process milestone, not a new methodology.

How the abbreviation is used on the deal

People rarely say “quality of earnings analysis” on a call. They say QoE. “Who is doing the QoE?” means which accounting firm owns the buy-side or vendor report. “QoE adjustments” means the bridge from reported to deal-basis EBITDA. “A clean QoE” means the firm did not find a hole large enough to reopen price — it is a social signal as much as an accounting conclusion.

The full methodology lives on Quality of Earnings. This page is about how the term behaves as a process object.

Where QoE sits on the timeline

On a structured sale, the vendor QoE often lands in the data room with the CIM. Buy-side QoE starts after the LOI when exclusivity and access are real. Investment committees in private equity typically want a near-final QoE before they authorise SPA negotiation, not after.

Illustration (labeled)

An email thread: “IC is Thursday. QoE draft tomorrow. If normalised EBITDA holds at €6.1m we stay at 9.0×; if they lose the €0.4m add-back we reopen.” Nobody in that thread is confused about what QoE means. They are using it as the earnings contract for the bid.

What “practitioners mean” that textbooks skip

QoE is a product with a fee, a scope letter and a liability cap. Teams argue about whether stock-based compensation, pro forma synergies, or COVID-era “normalisations” belong in the number. “QoE EBITDA” is not a GAAP line. If the SPA does not define it, the report is just a slide.

Common mistakes

Hearing “clean QoE” and skipping commercial due diligence. Assuming the vendor QoE is independent in the way an audit is independent. Using QoE as a synonym for the entire financial due diligence pack, then discovering net debt was someone else’s schedule.

Limitations

The abbreviation travels further than the work. A two-day “QoE lite” is not the same as a full buy-side report. Lenders may still require their own field exam.

Dazur Perspective

When people ask for “the QoE,” they are asking for a trusted earnings object. That object should be generated from the same structured financial layer that feeds valuation — not from a parallel spreadsheet that dies when the advisor’s mandate ends.
