What Is an M&A Data Room?

An M&A data room is the diligence repository for a company sale or acquisition: full financial, legal, tax, commercial and operational files, staged by process phase, and built so bidders can underwrite a price and an SPA.

The room as the auction’s backbone

An M&A data room is the data room configured for a sale: it must support financial due diligence, legal due diligence, tax, commercial and operational streams, plus the Q&A that will later qualify representations and warranties. IBA private M&A practice treats the index and the disclosure against the room as part of the SPA risk allocation.

Sell-side rooms are built by the target and its advisors. Buy-side rooms sometimes exist too — a buyer’s integration or financing pack — but “the M&A room” in banker English is the sell-side VDR.

How it differs from an investor room

An investor data room is sized for a minority cheque and a term sheet. An M&A room must survive a control diligence: net debt, WC, every material contract, employment, environmental, and the items that become conditions to closing. Staging still exists (teaser → CIM → confirmatory), but confirmatory is deeper.

Illustration (labeled)

Phase 1: 80 files, twelve NDA parties. Phase 2 after LOI: 900 files, two parties, clean-team folder for a strategic buyer. Q&A produces 140 written answers that counsel maps into the disclosure letter. That mapping is why M&A rooms are not interchangeable with fundraising rooms.

Common mistakes

Building the M&A room only after the first bid, then losing two weeks of auction tension. No debt-schedule folder. Customer files that violate the NDA with a competitor bidder. A room that dies at signing.

Limitations

A complete room will not make a weak business sell at a strong multiple. It also cannot invent consents.

Dazur Perspective

The M&A room should be a permissioned view of the same structured company used for valuation and matching — not a one-off ZIP assembled by the sell-side advisor. That is the smart data room idea applied to a sale.
